1. Introduction

Welcome to Audax Vanguard LLC ("Audax Vanguard", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the Audax Vanguard Platform (the "Service"). By accessing or using our Service, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, do not use the Service.

3. Services Provided

Service Description: Audax Vanguard LLC provides access to the Audax Vanguard Platform, which offers a variety of tools and services designed to enhance your business operations. The platform includes, but is not limited to, tools for project management, data analysis, customer relationship management, and various other business applications.

Unique Features: Audax Vanguard distinguishes itself by offering a comprehensive suite of tools integrated into a single platform, enabling users to streamline their operations without needing multiple subscriptions or disparate systems.

Service Availability: Our services are available to users worldwide.

Restrictions on Use: The Service is accessible to users of all ages and businesses globally, provided they comply with these Terms and all applicable laws and regulations.

4. Subscription and Usage

Subscription Plans: Audax Vanguard offers multiple subscription plans to cater to different user needs. Each plan provides access to different sets of features and tools.

Usage Limits: Access to certain features and tools is determined by the subscription plan chosen. Users must adhere to the usage limits specified in their plan and must not exceed these limits without upgrading their subscription.

Subscription Grant and Right to Use: Subject to all limitations and restrictions contained herein and the Quote, Audax Vanguard grants the user a non-exclusive, non-transferable right to access and operate the object code form of Applications (and use its Documentation) as hosted by Audax Vanguard as described in the Quote (“Use”) and solely to perform those functions described in the Documentation.

5. User Responsibilities and Conduct

User Obligations:

  • Information Privacy: Users must ensure that their use of the Service complies with all applicable privacy laws and regulations. Users are responsible for safeguarding their account credentials and must not share their login information with others.

  • Prohibited Activities: Users must not engage in the following activities:

    • Sharing accounts with others

    • Using the platform for illegal activities

    • Using the same key on more than one business entity


Compliance with Laws: Users must comply with all applicable local, state, national, and international laws and regulations when using the Service.

Account Security: Users are responsible for maintaining the confidentiality of their account credentials and are fully responsible for all activities that occur under their account. Users agree to immediately notify Audax Vanguard of any unauthorized use of their account or any other breach of security.

General Restrictions: Users shall not:

  • Copy, create a derivative work of, reverse engineer, reverse assemble, disassemble, or decompile the Software or any part thereof, or otherwise attempt to discover any source code or modify the Software in any manner or form unless expressly allowed in writing.

  • Obtain unauthorized access to the Software, including without limitation permitting access to or use of the Software via another system or tool, the primary effect of which is to enable input of requests or transactions by other than authorized users.

  • Use the Software in a manner that violates any third party’s privacy rights or Intellectual Property Rights.

  • Issue or participate in any press release or other public statement related to this Agreement or the Software without prior written consent of Audax Vanguard.

  • Publish, post, upload, or otherwise transmit Customer Data that contains any viruses, Trojan horses, worms, time bombs, corrupted files, or other computer programming routines intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any systems, data, personal information, or property of another.

Authorized Users: Unless otherwise specifically provided in the Quote, “Authorized Users” will only consist of:

  • Employees of the user

  • Subject to Section 5 (Confidentiality), third-party contractors of the user who do not compete with Audax Vanguard (“Permitted Contractors”), each of whom shall have rightful access to Nodes. Permitted Contractors may use the Software only at the user's place of business or in the presence of user personnel.

6. Data and Privacy


Data Collection: We collect user data as detailed in our privacy policy, which can be found at Privacy Policy Link. This data is used to provide, maintain, and improve our services. Privacy Policy: Our privacy policy outlines how we collect, use, and protect user data. By using our Service, you consent to the collection and use of your data as described in the privacy policy. User Data Rights: Users have the right to access, correct, or delete their personal data. Requests to exercise these rights can be made through our support email. Confidentiality of Software: All Confidential Information in tangible form will be marked as “Confidential” or the like, or if intangible (e.g., orally disclosed), will be designated as being confidential at the time of disclosure and will be confirmed as such in writing within thirty (30) days of the initial disclosure. The following is deemed Audax Vanguard Confidential Information with or without such marking or written confirmation:

  • The Software and other related materials furnished by Audax Vanguard

  • The oral and visual information relating to the Application.

  • These Terms

Ownership of Confidential Information: Nothing in these Terms will be construed to convey any title or ownership rights to the Software or other Confidential Information to the user or to any patent, copyright, trademark, or trade secret embodied therein, or to grant any other right, title, or ownership interest to Audax Vanguard’s Confidential Information.

7. Fees and Payment


Payment Terms: Payments for subscription plans are made on a monthly basis. Users must provide accurate and complete billing information and keep this information up to date. Failure to provide accurate billing information may result in the suspension or termination of the Service.

Additional Fees: Some tools within the platform may incur extra charges. These charges will be clearly communicated to users before they incur any additional fees. Refund and Cancellation Policies:

  • Cancellation by User: Users must provide a 30-day notice before cancellation. Users may cancel their subscription at any time, but refunds are provided at the discretion of Audax Vanguard and are not guaranteed.

  • Cancellation by Audax Vanguard: Audax Vanguard reserves the right to cancel a user’s account for any reason, at its sole discretion. Users will be notified of such cancellations and provided with any applicable refunds for unused services.

Refund Conditions: Refunds are provided at the discretion of Audax Vanguard. Refund requests will be reviewed on a case-by-case basis, and any granted refunds will be issued according to our refund policy.

Taxes: The subscription service fees, and other amounts required to be paid hereunder do not include any amount for taxes or levy (including interest and penalties). Users shall reimburse Audax Vanguard and hold Audax Vanguard harmless for all sales, use, VAT, excise, property, or other taxes or levies which Audax Vanguard is required to collect or remit to applicable tax authorities. This provision does not apply to Audax Vanguard’s income or franchise taxes or any taxes for which the user is exempt, provided the user has furnished Audax Vanguard with a valid tax exemption certificate.

8. Intellectual Property

Content Ownership: Users retain ownership of the content they create or upload while using the Service. Audax Vanguard does not claim any ownership rights over user-generated content.

Proprietary Technology: All proprietary technology, software, and materials provided by Audax Vanguard are owned by Audax Vanguard LLC. Users are granted a non-exclusive, non-transferable license to use the services according to their subscription plan.

Licensing: Users receive a license to access and use the services based on their subscription plan. License restrictions and conditions vary depending on the chosen plan.

Intellectual Property Infringement: Users must not use the Service in any manner that infringes the intellectual property rights of Audax Vanguard or any third party. Audax Vanguard reserves the right to terminate the accounts of users who infringe intellectual property rights.

Customer License Grant: The user grants Audax Vanguard a non-exclusive, royalty-free license to access, use, reproduce, modify, perform, display, and distribute user data as is reasonable or necessary for Audax Vanguard to perform or provide the Application or any Support Services.

Suggestions/Improvements to Software: Unless otherwise expressly agreed in writing, all suggestions, solutions, improvements, corrections, and other contributions provided by the user regarding the Software or other Audax Vanguard materials provided to the user will be owned by Audax Vanguard. The user hereby agrees to assign any such rights to Audax Vanguard.

9. Liability and Dispute Resolution


Limitation of Liability:

  • Audax Vanguard is not liable for any actions users take using the platform.

  • Users are responsible for ensuring that the information they input into the platform is accurate and lawful.

  • Audax Vanguard’s liability for any claims arising out of or relating to the Service is limited to the amount paid by the user for the Service in the 12 months preceding the claim.

Dispute Resolution:

  • Arbitration: Any disputes arising out of or relating to these Terms, or the use of the Service will be resolved through binding arbitration conducted in accordance with the rules of the American Arbitration Association.

  • Mediation: Parties may opt to resolve disputes through mediation before proceeding to arbitration or litigation.

  • Governing Law: These Terms are governed by the laws of Delaware, USA. Any disputes arising under or in connection with these Terms shall be resolved in the federal and state courts located in Delaware.

Indemnification: Users agree to indemnify and hold harmless Audax Vanguard, its affiliates, officers, agents, and employees from any claims, liabilities, damages, and expenses, including attorney’s fees, arising out of or related to their use of the Service, violation of these Terms, or infringement of any intellectual property or other rights of any third party.

10. Termination and Modifications

Termination Conditions:

  • User-Initiated Termination: Users can terminate their subscription if no payments are pending. Upon termination, access to the platform will be revoked.

  • Audax Vanguard-Initiated Termination: Audax Vanguard may terminate a user’s access to the Service at any time, for any reason, including but not limited to breach of these Terms.

Consequences of Termination:

  • Upon termination, user information may be deleted, and access to the platform will be revoked.

  • Users will not be entitled to any refunds unless expressly provided by Audax Vanguard.

Notification of Changes:

  • Email Notification: Users will be notified of changes to these Terms via email.

  • User Consent: Users must agree to the added terms by clicking a button in the notification email to continue using the Service.

Modification of Services: Audax Vanguard reserves the right to modify or discontinue the Service or any part thereof at any time, with or without notice. Users agree that Audax Vanguard will not be liable to them or any third party for any modification, suspension, or discontinuation of the Service.

11. Additional Information

Third-Party Services:

  • Audax Vanguard uses third-party services to enhance the functionality of the platform. These services are integrated with our offerings.

  • Users may be subject to additional terms from these third-party services, which will be provided as applicable.

Security Measures:

  • Security measures are detailed in our privacy policy. We take the protection of user data seriously and employ various measures to ensure its security.

  • Users will be informed of any security breaches via email.

Support and Maintenance:

  • Maintenance: Service maintenance and downtime will be managed as necessary to ensure the platform’s performance and reliability. Audax Vanguard reserves the right to perform maintenance at its discretion and will make efforts to inform users of any significant downtime.

12. Miscellaneous

Assignment:

  • Users may not assign these Terms or transfer any rights or obligations without the prior written consent of Audax Vanguard.

  • Audax Vanguard may assign these Terms or transfer its rights and obligations to a third party without user consent

Compliance with Laws:

  • Both parties agree to comply with all applicable laws, regulations, and ordinances.

Governing Law and Venue:

  • These Terms are governed by the laws of Delaware, USA. Any disputes arising out of or relating to these Terms will be resolved in the federal and state courts located in Delaware.

Entire Agreement:

  • These Terms, along with any referenced documents, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior discussions and writings.

Non-Waiver:

  • Failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision.

Severability:

  • If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Independent Contractor:

  • Audax Vanguard is an independent contractor. Nothing in these Terms will be deemed to create an agency, partnership, or joint venture between the parties.

Force Majeure:

  • Audax Vanguard will not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, and natural disasters.

Headings:

  • Headings in these Terms are for reference purposes only and do not affect the interpretation of these Terms.

Survival:

  • Provisions of these Terms that by their nature should survive termination will survive termination, including but not limited to provisions on intellectual property, limitation of liability, and dispute resolution.
